Introduction

These Terms of Service ("Terms") and our Privacy Policy, constitute the entire agreement ("Agreement") between Langbase, Inc. d/b/a Command Code ("Company", "We", "Our", "Us") and you ("You", "User"). These Terms govern your use of our website and services available at commandcode.ai (collectively, the "Service").

The following terms apply to these Terms of Service: "Client", "You", and "Your" refer to the person accessing this website and agreeing to the Company's terms. "The Company", "We", "Our", and "Us" refer to the Company. "Party" or "Parties" refers to both the client and us, or either individually. "Site Content" includes the information, data, text, images, videos, software, and other materials the Company makes available through the Service or website, including intellectual property such as copyrights, trademarks, and patents. Your own Inputs, Outputs, and Shared Content are defined in the Content section below. These terms cover the offer, acceptance, and payment necessary for us to assist the client in providing the Company's services in compliance with applicable laws.

By (a) purchasing access to the service through an online ordering process that references this agreement, (b) signing up for a free plan through a screen that references this agreement, or (c) clicking a box indicating acceptance, you agree to be bound by these terms. If you do not agree to or cannot comply with this agreement, you may not use the service. Please read these terms carefully.

Age and Eligibility

The service is intended for individuals who are at least eighteen (18) years old. By accessing or using the Company's services, you represent and warrant that you are at least eighteen (18) years of age and possess the full authority, right, and capacity to enter into this agreement and comply with all its terms and conditions. If you are under eighteen (18) years old, you are not permitted to access or use the service.

Accounts

When creating an account with us, you affirm that you are at least 18 years old and that the information you provide is accurate, complete, and up-to-date. Failure to provide accurate and current information may lead to the immediate suspension or termination of your account.

You are responsible for keeping your account credentials, including your password, confidential. This includes limiting access to your computer and account. You agree to take full responsibility for any activities or actions that occur under your account or password, whether associated with our service or a third-party service. If you become aware of any security breaches or unauthorized use of your account, you must notify us immediately.

You may not use a username that belongs to another person or entity, or one that is not legally available for use, including any names or trademarks protected by the rights of others, without proper authorization. Additionally, usernames must not be offensive, vulgar, or obscene.

Business domains. If you use an email address owned by your employer or another organization, your account may be linked to that organization's account on the Service, and the organization's owners and administrators may be able to monitor and control the account, including access to Materials and Shared Content in that organization. We will notify you before linking your account to an organization's account, unless the organization is responsible for notifying you or has already informed you that it may monitor and control the account.

One account per person. Each individual is permitted to create and maintain only one (1) account. You may not register, operate, or control more than one account, and you may not create additional accounts to obtain additional plans, credits, deals, free trials, promotional pricing, or to otherwise circumvent our usage guidelines, plan limits, or pricing. This restriction applies regardless of whether you use different email addresses, names, payment methods, or devices, and it applies to all plans, including the $1 plan and any other introductory, promotional, or low-cost offers.

Creating, operating, or controlling multiple accounts is a material breach of these Terms. If we determine, in our sole discretion, that you have created or used more than one account, we may suspend or terminate any or all of the accounts associated with you and permanently and irrevocably ban you from the Service on a lifetime basis, without notice, refund, or any further obligation to you. We may use signals such as email addresses, payment information, device and network identifiers, and usage patterns to detect and act on multiple-account abuse.

We reserve the right to refuse service, terminate accounts, modify or remove content, or cancel orders at our sole discretion.

Temporary Use License

For the duration of your authorized use of the services and contingent upon your adherence to the terms of this agreement, you are granted a personal, non-sublicensable, non-exclusive, non-transferable, limited license to use the services for your internal business or personal purposes, in accordance with your account's service capacity. All rights not expressly granted herein are reserved, and no license or right to use any trademarks of the Company or any third party is granted to you in connection with the services.

Communications

By creating an account on our service, you agree to receive newsletters, marketing materials, promotional content, and other communications from us. However, you may opt out of receiving any or all of these communications by following the unsubscribe link or by contacting us via email.

By using the services, you consent to receiving electronic communications from the Company. These communications may include notices about applicable service fees, charges, transactional information, and other details related to the services. Some of these communications may require your response or action to avoid service interruptions. These electronic communications are an integral part of your relationship with the Company and are provided as part of your use of the services. It is your responsibility to ensure that your account email address is kept current and that a responsive user is available at all times. You agree that any notices, agreements, disclosures, or other communications sent by the Company electronically will satisfy any legal requirements for communication, including those requiring that such communications be in writing.

Content

You may interact with the Service in a variety of formats, including prompts, source code, and files (we call these "Inputs"). The Service may generate responses based on your Inputs (we call these "Outputs"), or take actions on your behalf, such as editing files, running commands, and interacting with other systems and services (we call these "Actions"). Inputs and Outputs collectively are "Materials".

You are responsible for all Inputs you submit to the Service and all Actions. By submitting Inputs, you represent and warrant that you have all rights, licenses, and permissions necessary for us to process the Inputs under these Terms and to provide the Service to you, including to integrate with third-party services, to share Materials with others at your direction, and to take Actions. You also represent and warrant that submitting Inputs to us, sharing them with others, or directing the Service to take Actions will not violate these Terms or any applicable law. We may terminate the accounts of users who infringe copyrights.

As between you and the Company, and to the extent permitted by applicable law, you retain any right, title, and interest that you have in the Inputs you submit. Subject to your compliance with these Terms, we assign to you all of our right, title, and interest, if any, in Outputs. Outputs may not be unique; other users may receive similar Outputs from their own Inputs, and this assignment does not extend to their Outputs.

We use Materials only to provide, maintain, and secure the Service, comply with applicable law, and enforce these Terms. This includes transmitting your Inputs to the third-party AI model providers you use through the Service. We do not train our own AI models on your Materials, do not sell them, and do not make them available to other users unless you share them at your direction (see Shared Content).

Your Inputs are subject to the retention policies of the third-party AI model providers that process them, which we do not control. Where a provider supports zero data retention, we use it as described in our Privacy Policy and our zero data retention documentation.

Shared Content

Some features let you share Materials with others at your direction, for example publishing a taste package or skill to your team or the community, making a taste package public, or creating a share link to a session ("Shared Content"). Nothing is shared unless you direct it.

For Shared Content, you grant us a non-exclusive, royalty-free license to host, store, reproduce, display, and distribute it through the Service to the people you shared it with, and you grant those people a license to use it under these Terms. The license lasts while the content stays shared. You can stop sharing at any time by making it private, unpublishing, or deleting it; copies others already pulled or installed may remain with them. You represent and warrant that you have the rights to share it and that it contains no third-party confidential information or code you are not permitted to share.

We reserve the right, but are under no obligation, to monitor Materials and Shared Content and to remove or take down any that breach these Terms.

Payment of Fees

Payments

All payments must be made in U.S. dollars and within the United States. You are responsible for paying all applicable taxes, duties, withholdings, and similar charges. If the Company is legally required to pay or collect such taxes, you will pay the appropriate amount directly to the Company. The Company reserves the right to modify its fees and payment terms at its discretion; however, such changes will not take effect for you until the start of the next payment period. If a change increases the fees payable by you, the Company will give you at least thirty (30) days' notice before the increase takes effect, and you may reject the increase by canceling your subscription before it takes effect. Your continued use of the services after the price change takes effect constitutes your agreement to pay the revised amount.

Payments are processed by our third-party payment processor, Stripe, Inc. ("Stripe"). When you provide payment information, you provide it directly to Stripe, and your payment information is subject to Stripe's terms of service and privacy policy. The Company does not store full payment card numbers on its systems. You agree that the Company will not be liable for any errors caused by Stripe or any other third-party payment processor used to process fees you pay to us.

Subscriptions, Credits, and Deals

Our subscriptions are sold on the basis of underlying API costs. The subscription fee you pay entitles you to use third-party AI model APIs (such as those provided by Anthropic, OpenAI, Google, and other model providers) through our service, and the value you receive corresponds to the API usage costs we incur on your behalf. You may expect, at maximum, a one-to-one (1:1) ratio between the subscription amount paid and the API credits made available to you. We do not guarantee any ratio greater than 1:1, and the actual usage available to you may be lower depending on model pricing, provider rate changes, taxes, overhead, and operational costs.

Any additional credits, bonus credits, promotional credits, or top-up credits offered on top of a subscription (collectively, "Additional Credits") are provided strictly on a "while supplies last" basis. Additional Credits have no cash value, are non-refundable, non-transferable, and may be reduced, revoked, expired, or discontinued at any time at the Company's sole discretion, with or without notice.

Any deals, discounts, promotions, launch offers, referral bonuses, or other limited-time offers (collectively, "Deals") are time-bound and may expire, be modified, or be withdrawn at any time at the Company's sole discretion, with or without notice. Eligibility for Deals may be limited based on account type, geography, plan tier, timing, or other criteria determined by the Company. Pricing displayed at the time of a Deal does not constitute a guarantee of future pricing, and any previously advertised Deal that has lapsed is considered expired.

Both Additional Credits and Deals are subject to change at any time. The Company makes no representation or warranty that any specific credit amount, ratio, bonus, discount, or promotional benefit will remain available, continue at the same level, or be honored beyond its stated or unstated availability window.

By registering for an account, subscribing to any plan, redeeming any credits, or accepting any Deal, you expressly acknowledge and agree to the foregoing terms regarding subscriptions, Additional Credits, and Deals, including the maximum 1:1 API credit expectation and the Company's right to change, expire, or terminate Additional Credits and Deals at any time.

Refunds and Cancellation

All fees are final, non-refundable, and non-transferable. The Company operates a firm no-refund policy. All subscriptions, plans, credits, top-ups, add-ons, and other purchases are sold on a non-refundable basis, and all amounts paid are final once charged, except (i) where a refund is required by applicable law, (ii) where expressly authorized by the Company in writing, in the Company's sole discretion, or (iii) as expressly provided in the Term and Termination section below. We do not provide refunds, credits, or proration for partial billing periods, for unused credits or usage, or for downgrades, and unused credits and capacity do not roll over to any subsequent period. This applies whether or not you actually use the Service, provided the Service was made available to you.

Cancellation. You may cancel your subscription at any time from your billing settings or by contacting our support team at support@commandcode.ai. To avoid renewal and charges for the next billing period, you must cancel at least twenty-four (24) hours before the end of your current term. For example, if you subscribe on January 25 to a plan with a one-month term, you must cancel by February 23 (twenty-four hours before February 24) to avoid the next renewal charge. Cancellation takes effect at the end of your current billing period — that is, on the date your subscription would otherwise have renewed. Your subscription remains active through the end of the period you have already paid for, and it will not renew or be charged again for any subsequent period. Cancellation stops future renewals only; it does not entitle you to a refund of any amount already paid for the current or any prior billing period, and your paid access ends when your current paid term ends.

Any refund the Company may choose to grant in a particular case is made at its sole discretion and creates no obligation to provide a refund in any other case. By purchasing access to the Service or subscribing to any plan, you expressly acknowledge and agree to this no-refund policy.

Previews

The Company may choose to offer certain previews from time to time. These previews are provided "AS-IS," "WITH ALL FAULTS," and "AS AVAILABLE." LLMs may make mistakes, the Company's warranties and indemnities do not apply to previews, and no support services are provided for them. The Company reserves the right to modify, discontinue, or terminate your access to previews at any time without notice. The term "previews" refers to services, releases, features, or functionality provided for preview, pre-release, evaluation, demonstration, beta, or similar purposes.

Generative AI Models and Limitations

The Service incorporates generative AI models provided by third-party AI model providers, including but not limited to Anthropic, OpenAI, Google, and other model providers. When you use the Service, your prompts, attached content, and other inputs may be transmitted to these third-party providers for processing, and your use of the Service is also subject to those providers' applicable terms and policies.

Reliance on Outputs and Actions

Artificial intelligence and large language models are frontier technologies that are still improving in accuracy, reliability, and safety. When you use the Service, you acknowledge and agree:

  1. Outputs may not always be accurate and may contain material inaccuracies even if they appear accurate because of their level of detail or specificity.
  2. Actions may not be error free or operate as you intended. Review changes the Service makes to your files, systems, and services.
  3. You should not rely on any Outputs or Actions without independently confirming their accuracy.
  4. The Service and any Outputs may not reflect correct, current, or complete information.
  5. Outputs may contain content that is inconsistent with the Company's views.

If you encounter a response that you believe is incorrect or unhelpful, please let us know. You can provide feedback using the designated tools or contact us directly at support@commandcode.ai.

Acceptable Use

Your use of the Company's services, including participation in any community or discussion forums, is governed by the following rules:

  • The services may only be used in compliance with applicable laws.
  • You must not compromise the security or integrity of the Company's systems or networks, nor attempt unauthorized access to any such systems or networks.
  • You are prohibited from using the services to facilitate or promote the sale or distribution of illegal goods and services.
  • Automated tools, such as bots or scripts, must not be used to create multiple accounts, perform automated searches or requests, or extract data from the Company's website.
  • You must adhere to the Company's usage guidelines and limits. Each person may hold only one account, and creating or using multiple accounts—including to obtain extra plans, credits, or deals, or to circumvent these restrictions—is prohibited and may result in a permanent, lifetime ban of all related accounts.
  • The services must not be used to send unsolicited messages (spam), create spammy content, or engage in clickbait or click fraud activities.
  • You are not permitted to use the services for creating or distributing synthetic media ("deepfakes") that promote illegal activities.
  • You must not use the services to replicate the functionality of the Company or its products.
  • You must not use Outputs to develop or train artificial intelligence or machine learning models that compete with the Service or with any third-party AI model provider used by the Service.
  • You may not rent, lease, sell, or transfer access to the Company's website, software, or documentation to a third party.
  • You must not interfere with or disrupt the services or impose an undue burden on the Company's website or related networks.

The Company reserves the right to determine whether an account is in violation of these terms. Violations may result in the termination of your access to the Company's services and the removal of your projects and deployments.

Etiquette

In addition to complying with the terms of this agreement, you must not use the services for, or link to, any content that the Company deems objectionable, abusive, profane, or promoting hate speech or any illegal activities. You agree to indemnify and hold the Company harmless against any claims arising from your use of the services in violation of these terms. Although the Company is not obligated to monitor your use, it may do so using tools that detect patterns of abuse. The Company reserves the right to disable or terminate the services if it identifies any content that violates this agreement.

Security and Compliance

General

You are responsible for configuring your projects to ensure compliance with applicable laws, including obtaining proper consent for personal data transmission and storage. You must also configure the services in accordance with the documentation and implement appropriate encryption. The Company will not be liable for unauthorized access, loss, or corruption of your content due to your misconfigurations, malware, or security vulnerabilities.

Legal compliance. We may comply with governmental, court, and law enforcement requests or requirements relating to provision or use of the Service, or to information provided to or collected under these Terms. We reserve the right, at our sole discretion, to report information from or about you, including Inputs or Outputs, to law enforcement.

PCI Compliance

The Company is not a payment processor. Card payments are handled by our third-party payment processor, Stripe. If your content or data is subject to the Payment Card Industry Data Security Standards (PCI DSS), you are responsible for ensuring compliance with PCI DSS requirements.

Usage Restrictions

You agree not to:

  • Sublicense, resell, rent, lease, transfer, or assign the services to any third party.
  • Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Services.
  • Modify, translate, or create derivative works based on the services without authorization.
  • Use the services for time sharing or service bureau purposes or for the benefit of a third party.
  • Remove, alter, or obscure any proprietary notices or labels on the services or documentation.
  • Violate any applicable laws or regulations or infringe on the rights of any third party while using the services.
  • Engage in activities that violate the Company's policies or codes of conduct.

The Company may set general practices and limits on the use of the services, including data retention, storage space, compute capacity, and data transfer limits. The Company reserves the right to change these practices at any time.

Intellectual Property

The service, including its original content (excluding user content), features, and functionality, is the exclusive property of the Company and its licensors. The service is protected by copyright, trademark, and other intellectual property laws in the United States and internationally. The trademarks and trade dress of the Company may not be used in connection with any product or service without prior written consent.

Confidentiality

The receiving party acknowledges that the disclosing party has provided or may provide proprietary business, technical, product, or financial information ("Proprietary Information"). For the Company, this includes non-public details about the services' features, functionality, and performance. Your proprietary information includes non-public personal data provided to the Company or uploaded to the services ("Your Data"). The receiving party agrees to: (i) protect such proprietary information with reasonable precautions, and (ii) use it solely for the performance of the services or as permitted, and not disclose it to any third party.

Company Ownership

The Company retains all rights, title, and interest in the services, including any improvements, enhancements, or modifications, and all related intellectual property rights.

We respect the intellectual property rights of others and have established a policy to address claims of copyright infringement or other intellectual property violations ("Infringement"). If you are a copyright owner or authorized representative and believe that content on the service infringes upon your copyright, please send your claim via email to support@commandcode.ai with the subject line "Copyright Infringement." Your claim should include a detailed description of the alleged Infringement.

DMCA Notice and Procedure for Copyright Infringement Claims

To submit a notice under the Digital Millennium Copyright Act (DMCA), please provide our Copyright Agent with the following information in writing:

  • An electronic or physical signature of the person authorized to act on behalf of the copyright owner;
  • A description of the copyrighted work that you claim has been infringed, including the URL or a copy of the work;
  • Identification of the URL or specific location on the service where the infringing material is found;
  • Your address, telephone number, and email address;
  • A statement that you believe in good faith that the disputed use is not authorized by the copyright owner, its agent, or the law;
  • A statement made under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.

Error Reporting and Feedback

You may provide us with information and feedback about errors, suggestions for improvements, ideas, problems, complaints, and other matters related to our service ("Feedback") either directly at support@commandcode.ai or through third-party sites and tools. By providing feedback, you acknowledge and agree that: (i) you do not retain or assert any intellectual property rights or interests in the feedback; (ii) the Company may have development ideas similar to the feedback; (iii) the feedback does not contain confidential or proprietary information from you or any third party; and (iv) the Company is not obligated to maintain confidentiality regarding the feedback. If you rate an Output using a feedback tool in the Service, we may store the related conversation as part of your Feedback.

Software

We may offer manual or automatic updates to our software, including the command line interface, desktop applications, and editor extensions ("Company Software"), without advance notice to you. Company Software may include open source software. In the event of any conflict between these Terms and any other Company or third-party terms applicable to any portion of Company Software, such as open source license terms, those other terms control as to that portion of the Company Software and to the extent of the conflict.

Third-Party Services and Links

The Service relies on, and may include links to, third-party services that are not owned or controlled by the Company. These include, without limitation: (i) AI model providers used to power generative AI features; (ii) payment processing services; (iii) cloud, hosting, and infrastructure providers; (iv) analytics, product telemetry, and marketing platforms used to operate and improve the Service and our marketing activities; (v) email and communications providers; and (vi) third-party developer tools and integrations. Your use of any such third-party services is solely between you and the applicable provider and is governed by that provider's terms and policies.

Third-party content. Content from third-party sources, such as repositories, documentation, websites, tool results, and integrations, may appear in Inputs or Outputs and become part of Materials ("Third-Party Content"). Third-Party Content is the responsibility of the person or entity that provides it. The Company is under no obligation to host or serve Third-Party Content and may remove or take down Third-Party Content that infringes another's rights, breaches these Terms, or may cause harm. If you see Third-Party Content on the Service that you believe does not comply with these Terms, report it to support@commandcode.ai.

The Company does not control and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. We do not endorse or make any representations regarding the offerings of these external entities or their websites.

You acknowledge and agree that the Company is not liable for any damage or loss, whether direct or indirect, resulting from or alleged to result from the use of or reliance on any content, goods, or services available through third-party websites or services.

We strongly recommend reviewing the terms of service and privacy policies of any third-party websites or services you visit or use through the Service.

Term and Termination

Term

This agreement begins upon your acceptance and continues as long as the services are provided. Subscriptions and any additional services automatically renew for successive terms equal to the initial term, and the Company will charge your payment method on each renewal date until you cancel. You may cancel or downgrade your account at any time from your billing settings or by contacting our support team at support@commandcode.ai, effective at the end of your then-current term. Canceling or downgrading does not entitle you to a refund of any fees already paid; all fees are non-refundable, as described in the Refunds and Cancellation section above.

Termination and Suspension by the Company

The Company may suspend or terminate this agreement, or your access to all or part of the Service, immediately and with or without notice, if: (a) you breach this agreement or any policy it references (including the Acceptable Use section) and, where the breach is capable of cure, fail to cure it within a reasonable period after notice; (b) you fail to pay any amount when due; (c) you engage in any fraudulent, illegal, abusive, or harmful activity; (d) the Company reasonably believes suspension or termination is necessary to prevent a security risk or other risk of harm or liability to the Company, the Service, or any third party; or (e) it is required to comply with applicable law or a legal or governmental request. If the Company suspends or terminates for any of the foregoing reasons, you will not be entitled to any refund.

The Company may also suspend or terminate this agreement, or your access to the Service, for convenience — for any other reason or no reason, at any time, with or without notice. If the Company terminates your subscription for convenience and without cause under this paragraph, it will refund to you, on a pro-rata basis, the unused portion of any subscription fees you have prepaid for the terminated period. Additional Credits, promotional credits, and any amounts described as non-refundable elsewhere in these Terms remain non-refundable. Suspension is not a waiver of the Company's right to terminate, and the Company may, but is not obligated to, give you an opportunity to resolve an issue before suspending or terminating.

The Company may also terminate or deactivate your Account if it has been inactive for more than one (1) year and is not associated with an active paid subscription. If the Company terminates your Account for inactivity, it will provide you with notice beforehand.

Survival

Terms that naturally survive termination will remain in effect, including sections on payment rights, confidentiality, warranty disclaimers, and liability limitations.

Effect of Termination

Upon termination: (i) licenses to the services end, and use must cease; (ii) support services will stop; (iii) outstanding fees must be paid; and (iv) the Company may delete any Materials, Shared Content, or other data associated with your account, except as required by law or as described in our Privacy Policy.

Disclaimer

The services are provided "as is." The Company disclaims all warranties, both express and implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Company does not guarantee that the services or deliverables will be uninterrupted or error-free, nor does it warrant any specific results from their use.

Indemnification

You agree to defend, indemnify, and hold harmless the Company and its licensees, licensors, employees, contractors, agents, officers, and directors from any claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including attorney's fees) arising from: (a) your use of and access to the service; (b) your violation of any term of these terms; (c) your violation of any third-party rights, including intellectual property rights and privacy rights; or (d) any claim that your content caused damage to a third party. This defense and indemnification obligation will survive these terms and your use of the service.

Limitation of Liability

To the maximum extent permitted by law, the Company and its directors, employees, partners, agents, suppliers, or affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, arising from: (i) your access to or use of (or inability to access or use) the service; (ii) any conduct or content of any third party on the service; (iii) content obtained from the service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, regardless of whether we have been informed of the possibility of such damage.

Exclusions

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability for incidental or consequential damages. Therefore, some of the limitations above may not apply to you. In these jurisdictions, the Company's liability will be limited to the maximum extent permitted by law.

Governing Law

These terms are governed and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these terms will not be considered a waiver of those rights. If any provision of these terms is found to be invalid or unenforceable by a court, the remaining provisions will remain in effect. These terms constitute the entire agreement between us regarding our service, and supersede any prior agreements we might have had.

Changes

We reserve the right to modify or replace these terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice before any new terms take effect. What constitutes a material change is determined at our sole discretion. By continuing to access or use our service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the service.

Supplemental terms. Some features or plans may have service-specific terms or guidelines ("Supplemental Terms"). By using those features or plans, you agree to comply with the applicable Supplemental Terms. If these Terms conflict with Supplemental Terms, the Supplemental Terms govern for that feature or plan.

Contact Us
